Malaysia ESD Registration: Employer Eligibility to Sponsor an EP

A company that wants to sponsor a foreign employee’s Employment Pass (EP) through Malaysia’s Expatriate Services Division (ESD) has to complete company registration review and account activation first. Simply incorporating a company in Malaysia, or having a signed offer letter ready for the employee, does not by itself mean the company is eligible to submit an EP application.

ESD publishes its own eligibility rules for company type, paid-up capital, and required documents. Before applying, a company should confirm which category it falls into, then check the industry-specific rules and the application steps that follow.

This article covers ESD company registration specifically. It does not cover every scheme for hiring foreign workers, and it does not cover the individual applicant’s own eligibility or salary thresholds for the EP itself.

Which Entities Can Register With ESD?

Entities eligible for ESD registration are not limited to a private limited company (Sdn Bhd). The official guidebook lists entities registered with the Companies Commission of Malaysia (SSM) or the Registry of Societies (ROS), professional firms established under specific legislation, and other organizations that meet specified conditions.

Because of this, a company should first confirm its own entity type and which application channel applies to it. Being registered as a company is not, on its own, enough to establish ESD eligibility.

How Much Paid-Up Capital Is Required?

ESD’s published capital categories are as follows:

Company Equity or Business Category Paid-Up Capital Required
100% locally owned (Malaysian) RM250,000
Joint venture; the guidebook specifies at least 30% foreign equity RM350,000
100% foreign owned RM500,000
51% or more foreign equity, in Wholesale, Retail and Trade (WRT) RM1,000,000
51% or more foreign equity, in other regulated service sub-sectors listed in the guidebook RM1,000,000

These are the capital categories for ESD registration itself. Meeting the capital requirement does not mean every industry is automatically eligible to sponsor an EP. Businesses in WRT or other designated sectors still need to check the relevant authority’s approval, licensing, and foreign-participation limits that apply to them.

The guidebook also states that the capital requirement does not apply to certain entities, including public limited companies, companies limited by guarantee, and associations or organizations established under specific legislation. This does not mean those entities are exempt from other registration requirements.

If a company’s ownership structure or business activity does not fit cleanly into one of the table’s categories, it should confirm directly with ESD rather than estimating the threshold by proportion.

What Documents Does the Company Need to Prepare?

The main items listed in the official guidebook include:

  • Copies of directors’ MyKad or passports
  • A company profile covering the business, organizational structure, and photos of the business premises
  • A recent company telephone bill
  • A tenancy agreement or property sale and purchase agreement
  • SSM documents relating to company registration, share capital, and directors
  • The most recent audited financial statements
  • Applicable local government licenses and other business licenses

Different entity types may have additional document requirements, and ESD can request supplementary information.

When preparing these documents, check that company registration details, the application form, the business address, and the information on any license are all consistent. If directors, shareholders, or the address change, update both the company’s own records and the ESD registration information.

Completing Registration Does Not Mean an EP Is Automatically Approved

Once company registration is approved, the company still needs to complete account activation and a Letter of Undertaking (LoU). Since August 20, 2024, ESD has allowed company activation and LoU amendments to be handled online.

After that, the company still has to obtain any applicable supporting authority approval for its industry and application channel before submitting the individual employee’s EP application.

ESD also states explicitly that each EP application is assessed on its own merits. A company that is already registered, has sponsored foreign employees before, or has submitted an estimate of its foreign staffing needs, is not guaranteed approval for the next employee.

Can a Newly Established Company Apply?

This cannot be judged by how long the company has existed alone.

The company eligibility criteria reviewed for this article do not set out a single minimum operating history that applies to every company. But a new company still has to meet the capital, licensing, and documentation requirements; the absence of a uniform minimum operating history should not be read as meaning a new company can be approved immediately.

For example, if a company does not yet have its first audited financial statement, it should confirm directly with ESD what is acceptable, rather than assuming bank statements or other records will automatically be accepted as a substitute.

How Can a Job Candidate Check Whether the Company Is Ready?

Before accepting an offer, a candidate can ask the HR department:

  • Has the company completed ESD registration and account activation?
  • Which channel will this position’s EP go through, and does it require support or approval from a supporting authority?
  • What documents or steps does the company still have outstanding?
  • Who is handling the application, and what is the expected start date?

Past hiring experience can be a useful reference, but what matters more is whether the company can clearly state its current application status. Having sponsored an EP before does not guarantee this one will be approved.

FAQ

Does every company need RM500,000 in paid-up capital?

No. RM500,000 is the published threshold for a 100% foreign-owned company. Locally owned companies, joint ventures, and certain industries fall under different categories. This should be checked together with the nature of the business and any applicable exceptions.

Does completing ESD registration guarantee the company can get me an EP?

No. Completing registration and activation is the foundation for moving on to the application process. The position, the employee’s own eligibility, and any applicable supporting-authority requirements are still assessed separately.

Are small or newly formed companies automatically ineligible?

No. Company size or how long it has been operating is not the sole deciding factor. What matters is whether the company meets the applicable capital, entity type, licensing, and documentation requirements.
