When a foreign buyer purchases property in Malaysia, a lawyer’s role goes beyond drafting the contract and witnessing signatures. It typically covers checking the title, confirming approval requirements, handling financing documents, and coordinating payment and transfer procedures.

Before estimating the fee, it helps to separate a few things: whether the purchase is a resale property or a new project governed by housing-development rules, whether there is a bank loan involved, and whether the title documents can be completed in this transaction. Each of these affects what gets charged.

The SRO 2023 figures described in this article apply mainly to Peninsular Malaysia; Sabah and Sarawak have their own rules and should be checked separately.

Is a Lawyer Legally Required?

Not every property transfer legally requires a lawyer. Public guidance from the land authority notes that some transfers, including certain cash transactions, can be completed without one.

In practice, however, a foreign buyer’s purchase usually also involves eligibility to buy, state approval, contract conditions, and often bank financing. Engaging a lawyer who is familiar with local property transactions helps make sure these steps and responsibilities are handled properly.

It also matters who the lawyer represents. A developer arranging the lawyer, or advertising “free legal fees,” does not necessarily mean that lawyer is giving the buyer independent advice. Buyers should check the letter of engagement and the scope of service.

How Are Legal Fees Calculated for a Standard Resale Purchase?

The Solicitors’ Remuneration Order 2023 (SRO 2023), First Schedule, Table A, sets the standard scale fee for a general sale and transfer as follows:

Amount Tier Standard Rate
First RM500,000 1.25%, subject to a minimum fee of RM500
Next RM7,000,000 1%
Amount above RM7,500,000 Negotiable, but capped at 1% of the excess

The fee can be calculated on either the transaction price or the assessed value, so buyers should ask the lawyer to state clearly which figure the quote is based on.

Example: Fee Base of RM1,000,000

Before any discount, service tax, disbursements or additional work:

  • First RM500,000 x 1.25% = RM6,250
  • Next RM500,000 x 1% = RM5,000
  • Standard legal fee total: RM11,250

If there is a loan, the financing documents are calculated separately under the Third Schedule, based on the loan amount, and cannot simply be added on top of the property-price calculation.

SPA and MOT Are Not Automatically Two Full Separate Fees

The standard scale fee for a general sale and transfer already covers the normal work needed to complete the transaction, such as preparing the Sale and Purchase Agreement (SPA) and preparing and registering the memorandum of transfer (MOT). Where individual or strata titles have not yet been issued, the work may instead involve an assignment of rights.

So a financed purchase should not automatically be priced as:

“Full SPA fee + full MOT fee + full loan fee.”

A more reasonable way to check a quote is to break it down by category:

Category of Work How the Fee Should Be Understood
Sale and transfer Generally charged under the First Schedule, covering normal contract and transfer work
Loan or financing documents Calculated separately under the Third Schedule, which may involve principal and collateral documents
Later perfection of transfer or registration of charge Charged separately depending on the work involved and the applicable provisions
Approval applications and other extra work Should be itemized, with the charging basis stated

If the individual title is only issued later, perfecting the registration afterward may involve an additional fee, but that does not automatically mean a full sale-and-transfer fee is charged again.

New Projects Do Not Always Use the Same Fee Schedule

Transactions governed by the Housing Development (Control and Licensing) Act 1966 use the Table B fee arrangements under the First and Third Schedules, which are not the same as the general Table A.

So when comparing quotes from two law firms, buyers should first confirm both firms are quoting for the same type of transaction, the same fee schedule, and the same scope of service. A lower figure than a general resale estimate does not, by itself, mean a quote is wrong.

Can Legal Fees Be Negotiated?

Within the limits the rules allow, yes.

SRO 2023 permits a discount of up to 25% on First Schedule Table A and Third Schedule Table A fees. This is a discount a lawyer *may* offer, not one they are required to give.

Table B and other specified schedule fees are not eligible for this discount. When comparing quotes, buyers should look closely at the original standard fee, the discount, any additional work, and disbursements, rather than just the final total.

Where Does the 8% Service Tax Apply?

Legal services fall under the Sales and Service Tax (SST) regime as a taxable service. Taxable legal services provided by a registered law firm are generally subject to an 8% service tax.

However, that 8% should not be applied across the board to stamp duty, land registration fees and all disbursements. The tax treatment of statutory fees and other charges can differ, and a law firm’s bill should itemize this clearly.

A quote should ideally itemize:

  • Professional fee and any discount
  • Additional work
  • Stamp duty, registration fees and other disbursements
  • Applicable service tax
  • Total amount due and payment timing

What Does a Lawyer Actually Handle for the Buyer?

Depending on the scope of engagement and the transaction, the work typically includes:

  • Checking the title and any restrictions: confirming ownership details, existing charges, transfer restrictions, and required approvals.
  • Reviewing or drafting the contract: explaining payment terms, handover, default, and what happens if approval is not obtained.
  • Handling the transfer or assignment documents: using the procedure that matches the property’s title status.
  • Coordinating with the bank and any redemption: where there is a loan, handling the financing documents and liaising with the relevant bank and its lawyers.
  • Arranging stamping, declarations and registration: confirming who is responsible for each submission and its deadline.
  • Following through to completion: reconciling payment, documents, cost apportionment, and the conditions for handover.

Not all of this work is necessarily included in a single quote, so it is worth confirming the scope before engaging a lawyer. A lawyer’s title and legal checks are also not the same as a building inspection or an investment-return assessment.

Frequently Asked Questions

If I pay entirely in cash, will legal fees be lower?

Usually there is no bank financing to handle, so that portion of the work is removed. But the sale, transfer, and any applicable approval fees still apply, so the fee should not simply be treated as two full charges for the SPA and MOT.

If the developer says legal fees are free, does that mean there are no further legal costs?

It depends on what the offer covers and which side the lawyer represents. A “free legal fee” offer may not cover loan documents, stamp duty, disbursements, later title registration, or the cost of the buyer engaging a separate lawyer.

If a quote is lower than the standard calculation, does that automatically breach the rules?

Not necessarily. It may reflect an allowed discount, a Table B transaction, or a different scope of work. Buyers should ask the lawyer to state which schedule applies and how the fee was calculated.

Note: This article describes the general fee framework. The actual fee depends on the transaction type, the fee base, any financing documents, and additional work, calculated under the applicable rules.
